The 2012 annual equity distribution plan of Boshen Tools Co., Ltd. (hereinafter referred to as “the company”) was reviewed and approved at the 2012 Annual General Meeting held on May 21, 2013. The rights distribution matters are hereby announced as follows:

I. Equity distribution plan

The 2012 annual equity distribution plan of the Company is: based on the company's existing total share capital of 225,420,000 shares, 0.5 million yuan of cash is distributed to all shareholders for every 10 shares (including tax; after tax deduction, QFII, RQFII and holding shares are restricted to sell shares) Individuals and securities investment funds with new shares and restricted shares shall be distributed at RMB 0.40000 per 10 shares; dividends and dividends paid by individuals and securities investment funds holding non-share reform, non-new share restricted shares and unrestricted shares shall be subject to differential tax rate. For every 10 shares, 0.475000 yuan will be paid. According to the investor's shareholding reduction, the investor will pay the tax according to the actual shareholding period. For other non-resident enterprises other than QFII and RQFII, the company has not withheld the income tax. The taxpayer pays the place where the income is paid.).

[Note: According to the principle of first-in-first-out, the shareholding period of the investor's securities account is calculated. Within one month (including one month), the tax is paid for every 10 shares of 0.075000 yuan; the shareholding is 1 month. For the above 1 year (including 1 year), the tax will be paid for every 10 shares of 0.025000 yuan; if the shareholding is more than 1 year, no tax will be paid. 】
